This is a finding aid. It is a description of archival material held at the Friends Historical Library of Swarthmore College. Unless otherwise noted, the materials described below are physically available in their reading room, and not digitally available through the web.
Overview and metadata sections
Under the 1864 Charter of Swarthmore College, the Board of Managers was elected at the annual meeting of the Stockholders of the College held each December in Philadelphia, Pa. The amendment of 1870 included a provision that sixteen of the thirty-two Managers were to be women, a formalization of the de-facto Board membership. In 1910 application was made to the Court of Common Pleas of Delaware County to change the organizational structure of the Corporation and eliminate the stockholders provision of the Charter. This was approved on October 22, 1910. The Board of Managers took over the fiduciary responsibilities of the College and was authorized to elect its successors, appoint the College president and other officers, and adopt by-laws as may be necessary for the management of the College.
As a result of the Charter revision, the last meetings of the Friends Educational Association and the Stockholders of Swarthmore College were held on December 6, 1910, at which time the first Board of Managers of Swarthmore College was elected and the Stockholders Association dissolved. At that time, all shares of stock were surrendered to the Swarthmore College Corporation.
The collection consists of the official records of the Board of Managers of Swarthmore College, its committees, personal papers of its members, and reference material concerning the Board.

Deposit, 1972 and on-going
The bulk of the material was received circa 1972 and processed as part of Swarthmore College Archives, Series 2, Official Records of the College. As part of the reorganization of the College Archives that began in 1997, the records were reprocessed and a new finding aid produced. Corrections and re-classifying series were made on the inventory in 2014. Within each series, the boxes are mumbered sequentially in order to keep like material together rather than a continuous numbering of all boxes regardless of series or topic.

The first Board of Managers of Swarthmore College was created by the Friends Educational Association, the founding committee of the College. Records include the minutes of the Board of the Friends Educational Association, 1862–1864, Board of Incorporators, 1864, and minutes of the Board of Managers of the College, 1864-2004.

After fiduciary responsibility and management authority was assigned to the Board of Managers in 1910, the Board created Standing Committees. The Committees were to report to the Executive Committee and the Board of Managers. The first standing committees were Executive, Finance, Trusts, Household, Property, Instruction, Libraries, Museums and Laboratories, Nominating, and Auditors. Additional briefly serving committees were: Committee to engross the Constitution for the proposed institution was established in 1865 and laid down in 1876; General Committee was formed in 1867 to appoint and attend conferences designed to create interest in stock subscriptions for Swarthmore College. A similar local committee of stockholders was appointed in 1864 to solicit subscriptions in Philadelphia. The Furnishing Committee was established in 1869 to oversee the procurement of furniture for the College buildings.
The Executive Committee, formed in 1869, is responsible for acting on behalf of the Board between its regular meetings. Its primary duties include making specific appropriations for the fiscal year to the different departments.

A Building Committee was appointed in 1864, and the first specifications for the Swarthmore College building were reported in 1866. The Property Committee was established in 1866 with the responsibility of caring and overseeing the College buildings and grounds. In 1876 the name was changed to the Building and Property Committee when the Committees were merged. The name was eventually shortened to Property Committee.
The repository has no holdings of records of the first Property Committee before 1876.

As of 2015, the Board of Managers has separate committees for: Admissions and Financial Aid, Audit and Risk Management, Compensation, Development and Communications, Finance, and Investment.
A Committee on Trusts, Endowments & Scholarships was established in 1874 for the purposes of sustaining the Endowment Fund and to apply at their discretion, amounts of money as may be necessary to enable the reduction of tuition to girls desiring to be teachers, and to offer aid by loan or otherwise to those not having the ability to pay regular tuition rates.
Trustees of Endowed Professorships were named in 1887 to obtain funds and subscriptions for the purposes of endowing professorships in various disciplines and to promote the importance of education and the teaching profession.

The Finance Committee was established in 1867 with the responsibility of reporting on, in conjunction with the Treasurer and Receiver, plans for the payment of salaries and all other expenses of the school. It was to approve all bills for current expenses and draw orders on the Treasurer for payment of the same. The Finance Committee was to consult with the Treasurer and with the Committee on Trusts. On July 9, 1869 it was renamed The Committee of Finance and Economy, with responsibility for the financial management of the College. The Auditors' Committee, which had been formed in 1867 to audit the accounts of the Treasurer, was merged into the Finance Committee in 1912.
In 1966, the Finance and Trust Committees merged.

The Development Committee was established in 1955 for the purpose of advising the appropriate officers of the College Administration on all external affairs of the College, and with respect to the development of all current and long-term resources of the College.

Per the Swarthmore College website in 2019:
The Committee on Admissions and Financial Aid is responsible for reviewing and revising, as necessary, admissions and financial aid priorities of the College with a view toward admitting a diverse body of students who have the academic, critical thinking, and other necessary skills to thrive at Swarthmore, benefit from the education provided, and use their training and experience to become innovative and ethical leaders committed to making a difference through their careers and in their communities.
Working closely with the appropriate College staff, the Committee on Admissions and Financial Aid shall:
(i) review the effectiveness of admissions policies and practices;
(ii) establish guidelines to evaluate the growth in scholarship expenditures relative to overall resource allocation;
(iii) examine current needs of enrolled and prospective students;
(iv) review the financial implications and effectiveness of financial aid policies on a regular basis; and
(v) monitor the College's admissions and financial aid policies compared with its peers.
The Instruction Committee was established in 1867 to oversee the academic program of the College and to nominate and appoint persons for professorial vacancies. It was to oversee all matters pertaining to Instruction not delegated to the Faculty or to the President of the College.
In 1872 Ansom Lapham donated a collection of Quaker books to the College. The Ansom Lapham Repository was renamed the Friends Historical Library in 1874, and the Friends Historical Library Committee was established to oversee its operations. The Library Committee was organized in 1894 to oversee the general library operations. The Friends Historical Library Committee and the Library Committee merged in 1910 to the Libraries Committee.
In 1933 the Instructions and Libraries Committees were merged to form the Instruction and Libraries Committee. The Instruction and Libraries Committee was later renamed the Academic Affairs Committee

The Household Committee was formed in 1867 in conjunction with the Superintendent to oversee general care of the dining room, kitchens and other household departments. Under its care, the Superintendent was authorized to appoint the matrons and housekeepers. It was renamed in 1944 to reflect its additional responsibility as the Household and Student Affairs Committee. In 1956 the committee's name was changed to the Student Affairs Committee and then changed again in 1957 to the Student Activities Committee. The name changed in 1976 to Student Life Committee, and subsequently changed back to the Student Affairs Committee.

The Recess Committee was responsible for reporting on the conditions of the College before the opening of a school year. This committee reported to the Board of Managers on such things as the physical condition of the College buildings and the overall health of the student population.
The minutes of the Visiting Committee and of the Recess Committee, 1883-1893, may be found in the same volume.

The Nominations Committee was established as a standing committee of the Board in 1910 with the responsibilities of proposing to the Board the names for vacancies in the offices of the Corporation and the Board. They were also to nominate the standing committees of the Board and to propose names for vacancies as may be necessary. The name was changed to Nominating Committee in 1917. It was later renamed the Nominating and Governance Committee.

Howard Cooper Johnson (1876-1952), Swarthmore 1896, was the first alumnus to serve as Chairman of its Board of Managers. He was also President of the Trustees of Philadelphia Yearly Meeting (Hicksite) and a member of Representative Committee.

Stephen G. Lax (1919-1976), Swarthmore 1941, was Chairman of the Board of Managers from 1971-1976. Lax was also Chairman and President of SGL Industries, Inc.
Records include correspondence, financial reports, and other materials related to Lax' role as Chairman.
